Terms of Service & Autopilot Operation Agreement

Unattended automated software operation disclosure, statutory intermediary safe harbor immunity, absolute disclaimer of claims and warranties, strict damages cap, and mandatory individual arbitration.

⚙️ AUTONOMOUS SYSTEM NOTICE: This platform is an automated, self-service software application operating on 100% unattended autopilot. The software author/operator exercises zero continuous human curation, zero pre-publication screening of listings, and zero real-time supervision of communications or physical meetups.

1. Autonomous Software Operation & Autopilot Architecture

Hyperlocal is an automated, self-executing software application and electronic communication conduit operating on unattended autopilot. The software, database infrastructure, and algorithms are published and hosted by an independent solo software developer ("Operator") solely to provide a decentralized electronic bulletin board and classified directory.

The Operator does not employ manual content review teams, active customer support agents, or real-time dispute arbiters. All listings, photographs, prices, descriptions, messages, and transaction terms are originated, uploaded, and negotiated entirely and autonomously by independent third-party users. The Operator exercises no prior editorial review or approval over user-submitted content.

2. Statutory Intermediary Safe Harbor & Publisher Immunity

The Platform and Operator operate strictly within recognized statutory intermediary safe harbors and mere-conduit immunities across all sovereign jurisdictions:

  • United States: Section 230 of the Communications Decency Act (47 U.S.C. § 230) — absolute immunity from civil liability as an interactive computer service provider for content provided by another information content provider; and Title 17 U.S.C. § 512 (DMCA safe harbor).
  • European Union: Articles 4, 5, and 6 of the Digital Services Act (Regulation (EU) 2022/2065) — liability exemptions for mere conduit, caching, and hosting intermediaries. Under DSA Article 8, the Operator is subject to no general legal obligation to monitor user content or actively seek facts indicating illegal activity.
  • United Kingdom: Electronic Commerce (EC Directive) Regulations 2002 and UK Online Safety Act intermediary protections.
  • Republic of India: Section 79 of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
  • Other Sovereign Territories: Equivalent statutory electronic commerce, telecommunications, and intermediary immunity statutes globally.

The Operator is strictly a technology provider and is not a seller, retailer, broker, auctioneer, employer, guarantor, or commercial agent of any user.

3. ABSOLUTE DISCLAIMER OF ALL CLAIMS & WARRANTIES ("AS IS" / UCC § 2-316)

THE OPERATOR MAKES ZERO CLAIMS, ZERO ENDORSEMENTS, AND ZERO WARRANTIES OF ANY KIND.

Without limiting the breadth of the foregoing disclaimer, the Operator expressly disclaims any warranty, representation, or guarantee that:

  • Any item advertised exists, is authentic, is undamaged, is safe, is operable, or is legally owned by the poster;
  • Any user is truthful, solvent, legally competent, or has undergone criminal background or bank verification;
  • Any physical meetup, Daylight Handshake, or exchange will proceed safely, peacefully, or without incident;
  • The automated software will operate without interruption, server downtime, bugs, or data loss;
  • Location radius approximations or neighborhood pins are geographically or mathematically precise.

Any status pills, citizen pass badges, recorded handshake counters, or account dates displayed on the Platform are purely automated, algorithmic or self-reported data strings. They do NOT constitute verification, accreditation, or endorsement by the Operator.

4. Zero Escrow & No Payment Custody

Hyperlocal is not a bank, financial institution, money transmitter, escrow agent, or payment service provider. The Operator never takes custody of purchase funds, never holds buyer deposits, and never processes peer-to-peer transaction settlements. All peer-to-peer payments take place directly and privately in person between the transacting parties during their Daylight Handshake. The Operator has zero access to, and zero control over, transactions between users.

5. Strict 100% All-Sales-Final No-Refunds Policy

All payments made to the Platform for digital passes (including 1-Year Resident Citizen Passes, 30-Day Gate Passes, and Global City Passports), commercial storefront tiers, listing slots, and micro-tokens are 100% final, non-refundable, non-cancellable, and non-exchangeable under all circumstances.

By purchasing any digital pass or service, you expressly request immediate digital performance and expressly agree to waive and forfeit all statutory rights of withdrawal and cooling-off periods (including under Article 16(m) of EU Directive 2011/83/EU and the UK Consumer Rights Act 2015). For complete details, see our Strict All-Sales-Final No-Refunds Policy, which is incorporated into these Terms in full.

6. STRICT LIMITATION OF LIABILITY & DAMAGES CAP

IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF THE OPERATOR TO YOU FOR ANY AND ALL CLAIMS WHATSOEVER SHALL BE LIMITED STRICTLY TO THE AMOUNT ACTUALLY PAID BY YOU TO THE PLATFORM DURING THE PRECEDING TWELVE (12) MONTHS, OR FIFTY UNITED STATES DOLLARS ($50.00 USD), WHICHEVER IS LESS (OR ZERO DOLLARS IF NO FEES WERE PAID).

7. User Indemnification & Hold Harmless

You agree to defend, indemnify, and hold completely harmless the solo Operator, Platform, and successors from and against any and all claims, lawsuits, administrative demands, losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorney fees and court costs) arising out of or in any way connected with:

  • Your access to or use of the Platform or Software;
  • Any listing, item, photo, text, or content posted or transmitted by you;
  • Any physical meetup, negotiation, transaction, breach of contract, or altercation between you and any other user or third party;
  • Your breach of these Terms or violation of any municipal, state, national, or international statute or regulation;
  • Your infringement of any intellectual property, privacy, or property rights of any person or entity.

8. Mandatory Binding Individual Arbitration & Absolute Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING WAIVING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any claim or arbitration demand arising under these Terms must be formally initiated within one (1) year after the cause of action arises, or such claim is permanently barred.

9. Assumption of Risk for Physical Meetups & Independent Inspection

You expressly acknowledge and agree that meeting strangers in the physical world to trade goods carries inherent risks of fraud, theft, assault, robbery, counterfeit items, or bodily harm. You voluntarily assume 100% of all risks associated with any physical meetup, Daylight Handshake, or exchange arranged through the Platform.

The Operator conducts zero criminal background checks, zero physical identity reviews, and provides zero physical security or presence at meetups. You are solely responsible for exercising common sense, meeting in daylight public locations, bringing companions, and inspecting goods before releasing cash.

10. Global Master Prohibited Items List & Autonomous Enforcement

Users are strictly prohibited from listing, trading, or promoting:

  • Firearms, weapons, ammunition, explosives, fireworks, or tactical arms;
  • Controlled substances, prescription drugs, illegal narcotics, or hazardous chemicals;
  • Counterfeit goods, unauthorized replicas, or intellectual property-infringing merchandise;
  • Stolen property, encumbered items, or unverified financial claims;
  • Endangered species, animal parts, ivory, or protected flora under CITES treaties;
  • Adult services, commercial escorts, pornography, or sexually explicit media;
  • Financial schemes, Ponzi operations, unauthorized securities, or advance-fee scams.

Violations result in immediate listing removal, permanent account termination without refund, IP/hardware blacklisting, and referral to competent law enforcement agencies.

11. Original Photography & Anti-Scraping Watermarking

To protect the community from commercial scrapers, dropshippers, and bait-and-switch listings, all listings must feature authentic original photographs of the actual item offered. Stock photography, digital mockups, and scraped catalog imagery are strictly prohibited. To deter theft, the platform's automated systems stamp uploaded imagery with an administrative watermark.

12. Statutory Notice-and-Takedown (DMCA & EU DSA Article 16)

If you believe that any listing or user-generated content infringes your intellectual property or violates statutory regulations, submit a formal notice to our Compliance & Legal Desk at legal{{ request()->getHost() }}. Formal notices are reviewed promptly and unlawful content is removed in accordance with statutory standards.
